Role Overview:

For one of our long-standing and trusted clients — a licensed asset management company operating in the capital markets sector — we are seeking a highly motivated, detail-oriented, and responsible Legal Counsel. This role is a key part of the company’s strategic expansion and requires a professional with proven expertise in the financial regulatory environment.


Experience within a Managing Company, Investment Intermediary, or the Financial Supervision Commission is not only preferred but strictly mandatory for this position. Candidates without this background will not be considered.

Key Responsibilities

• Drafting, reviewing, and maintaining internal rules, policies, procedures, agreements, contracts, and declarations relevant to the company’s regulated activities.
• Providing well‑structured legal opinions and proposing effective solutions to matters arising within the Managing Company’s operations.
• Performing internal control activities to ensure full regulatory compliance across all processes.
• Monitoring, interpreting, and applying the regulatory framework governing the Bulgarian capital markets.
• Advising and supporting the Board of Directors and the Executive Director in the lawful and compliant execution of their duties.
• Participating in ongoing and upcoming projects requiring legal, compliance, and regulatory expertise.

Requirements:

• University degree in Law.
• Minimum of 3 years of professional legal experience.
• Mandatory: Previous experience in a Managing Company, an Investment Intermediary, or the Financial Supervision Commission.
• Strong theoretical and practical command of capital markets legislation, including:

– The Collective Investment Schemes and Other Undertakings for Collective Investment Act
– Markets in Financial Instruments Act
– Public Offering of Securities Act
– Commercial Act

• Excellent computer literacy (MS Office, legal information systems).
• Strong communication, organizational, and analytical skills.
• Ability to work effectively within a collaborative team environment.
• Proficiency in English.
